Environmental Waste International Announces Private Placement

and Debt Settlement

 

January 6, 2022 - WHITBY, ONTARIO--(Newsfile Corp.) - Environmental Waste International (TSXV:EWS.V) (the “Company” or “EWS”) announced today that it has agreed with certain investors  to raise $1,500,000 in a $0.05 per unit private placement financing. Each unit consists of one common share and one share purchase warrant. Each warrant expires two years from the closing and has an exercise price of $0.20. Each investor will also purchase certain shares of EWS from a director of EWS for $0.02 per share in a private transaction expected to close concurrently with the financing.

 

The Company is also pleased to announce the agreement with two of its board members (the “Related Creditors”) for the settlement of debt owing to them in the amount of $457,866 in exchange for the issuance of an aggregate of 13,081,879 shares (the “Debt Shares”) at a price of $0.035 per Debt Share. The issuance of the Debt Shares to the Related Creditors constitutes a "related party transaction" as this term is defined in Multilateral Instrument 61-101: Protection of Minority Securityholders in Special Transactions ("MI 61-101"). The independent directors of the Company, acting in good faith, determined that the fair market value of the Debt Shares being issued pursuant to the shares for debt transaction and the consideration being paid is reasonable. The Company intends to rely on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 as neither the fair market value of the Debt Shares nor the debt exceeds 25% of the Company's market capitalization. The Debt Shares are subjected to a four month and a day hold period.

 

No broker or finder fees are anticipated to be paid in connection with the financing. All securities issued pursuant to the financing and debt settlement will be subject to four months and a day statutory hold period. The financing and debt settlement is subject to TSX Venture Exchange acceptance of regulatory filings. The funds will be used for upgrading the Company’s Sault Ste. Marie facility, repayment of debt and for working capital.
